FILM SCREENING LICENSE AGREEMENT
This Film Screening License Agreement (“Agreement”) is entered into as of Date of Rental, by and between:
Licensor:
Nieves Films LLC
(“Licensor”)
Copyright Owner of the motion picture titled “The Indispensable Armor”
Licensee:
Church / Organization who rent this motion picture
(“Licensee”)
1. OWNERSHIP & COPYRIGHT
The motion picture titled “The Indispensable Armor” (the “Film”) is protected under United States and international copyright laws.
Licensor is the sole and exclusive owner of all rights, title, and interest in and to the Film.
Nothing in this Agreement transfers ownership of the Film.
2. GRANT OF LICENSE

Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to publicly exhibit the Film solely under the following conditions:

Purpose: Church service, outreach event, ministry gathering, or internal organizational event

Location: One (1) physical location only

Date(s): 24 hours
-
Audience: Live, in-person attendees only
All rights not expressly granted are reserved by Licensor.
3. PROHIBITED USES (STRICT)
Licensee may NOT, without prior written permission from Licensor:

Record, copy, duplicate, or reproduce the Film
-
Stream, broadcast, or simulcast the Film (including Zoom, Facebook, YouTube, Vimeo, or any platform)
-
Upload or distribute the Film in any format
-
Edit, alter, excerpt, or modify the Film
-
Charge individual admission unless expressly authorized in writing
-
Share the Film file or link with any third party
-
Use clips, stills, or audio for promotional purposes
-
Use the Film for commercial, political, or fundraising resale purposes
4. DELIVERY & SECURITY
Licensor may provide the Film via secure digital delivery, download, or physical media.
Licensee agrees to:

Use the Film only for the licensed screening
-
Protect the Film from copying or unauthorized access
-
Delete or return all copies immediately after the licensed event
5. LICENSE FEE
Licensee agrees to pay Licensor a license fee of the Rental, due prior to delivery of the Film.
Failure to pay voids this Agreement.
6. CREDIT REQUIREMENT
Licensee agrees to display the Film without removing or altering any credits, logos, or copyright notices.
7. NO WARRANTY / LIMITATION OF LIABILITY
The Film is licensed “as is.”
Licensor shall not be liable for any indirect, incidental, or consequential damages arising from the screening of the Film.
8. TERMINATION
Licensor may terminate this Agreement immediately if Licensee violates any provision.
Upon termination, all rights granted revert to Licensor, and the Film must be deleted or returned immediately.
9. INDEMNIFICATION
Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, or liabilities arising from unauthorized use of the Film.
10. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Florida.
11. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties and may only be modified in writing signed by both parties.
OPTIONAL ADD-ON A
ONLINE / LIVESTREAM SCREENING ADDENDUM
This Addendum applies only if explicitly approved in writing by Licensor.
1. LIMITED ONLINE RIGHTS
Licensee is granted a one-time, time-limited license to stream the Film only under the following conditions:

Platform: Vimeo On Demand
-
Access: private link
-
Dates: 24 hours
-
Audience: Members or invited guests only
2. STRICT PROHIBITIONS
Licensee may NOT:
-
Post the Film publicly
-
Enable downloads
-
Record the livestream
-
Archive the Film
-
Share access credentials
3. AUTO-EXPIRATION
All streaming rights automatically expire at the end of the approved time window.
OPTIONAL ADD-ON B
TICKETED EVENT / ADMISSION ADDENDUM
1. AUTHORIZATION TO CHARGE ADMISSION
Licensee is authorized to charge admission solely for cost recovery or outreach support, subject to:

Maximum ticket price: Individual or Group Rental

One licensed event only
-
No resale or rebroadcast
2. NO REVENUE OWNERSHIP
All ticket revenue belongs to Licensee.
This Agreement does not create a partnership or profit-sharing arrangement unless separately agreed in writing.
OPTIONAL ADD-ON C
PROMOTIONAL MATERIALS & CLIPS ADDENDUM
1. LIMITED PROMOTIONAL USE
Licensee may use approved still images or trailers provided by Licensor only to promote the licensed event.
2. PROHIBITED CONTENT
Licensee may NOT:

Use Film clips beyond approved trailers
-
Edit trailers
-
Use Film content in sermons, social media reels, or ads
All promotional rights terminate after the event.
OPTIONAL ADD-ON D
CLIP-ONLY LICENSE (SERMON / TEACHING USE)
1. AUTHORIZED CLIP USE
Licensee may use one (1) pre-approved clip not exceeding 2 minutes for teaching purposes.
2. NO RECORDING
Clip use must be live only and may not be recorded or distributed.
OPTIONAL ADD-ON E
PROMOTIONAL MATERIALS & CLIPS ADDENDUM
1. LIMITED PROMOTIONAL USE
Licensee may use approved still images or trailers provided by Licensor only to promote the licensed event.

You may attach this internally or show it to churches:
Tier 1 – Small Church / Ministry

Tier 3 – Large Church / Organization

OPTIONAL ADD-ON G
WATERMARKED LICENSE CERTIFICATE
Licensor may issue a Screening License Certificate including:

Film title
-
Licensee name
-
Approved date/location
-
Unique license number
Licensee must keep this certificate on file and present it upon request.
OPTIONAL ADD-ON H
COPYRIGHT ENFORCEMENT & PENALTIES
Unauthorized use of the Film may result in:
-
Immediate termination
-
Legal action for copyright infringement
-
Statutory damages under U.S. Copyright Law
-
Permanent denial of future licensing
